Klipy Calculator: Terms of Use, Privacy and Data Processing Notice

Important Notice

This document has been drafted as a comprehensive framework for data processing and liability protection. It should be reviewed by a qualified UK solicitor before being relied upon as final legal terms. Klipy UK Limited is not a law firm and this document does not constitute legal advice.

1. Overview and Scope

These Terms of Use and Data Processing Notice ("Terms") govern your use of the Klipy Calculator ("the Tool"), operated by Klipy UK Limited, a company registered in England and Wales (Company No. 15984744) ("Klipy", "we", "us", "our").

The Tool is a payment processing comparison and proposal generation service designed to analyse existing merchant payment statements, generate Teya counter-proposals, and produce PDF proposals for prospective merchants. By using the Tool or providing any information through it, you ("the Merchant", "you", "your") acknowledge that you have read, understood, and agree to be bound by these Terms.

These Terms should be read in conjunction with Klipy UK Limited's general Privacy Notice, available at /privacy.

2. Purpose of Data Collection

We collect and process your business and financial information solely for the following limited purposes:

(a) Statement Analysis: To extract, analyse, and compare your existing payment processing fees, transaction volumes, card mix data, and associated costs from uploaded merchant statements in order to generate an accurate comparison with Teya's pricing model.

(b) Proposal Generation: To produce personalised PDF proposals containing estimated savings, recommended Teya plans, terminal recommendations, and where applicable, Merchant Cash Advance eligibility assessments.

(c) Merchant Onboarding: If you choose to proceed, to facilitate your application and onboarding as a Teya merchant through the official Teya ISC portal.

(d) Commission Calculation: To calculate internal ISC commission projections. This data is visible only to Klipy UK Limited personnel and is never shared with merchants.

We do not use your data for marketing, profiling, automated decision-making with legal effect, credit scoring, or any purpose other than those expressly stated above.

3. Categories of Data Collected

The Tool may collect and process the following categories of data:

Business Data: Company name (registered and trading), registered address, trading address, Companies House registration number, SIC code, industry classification, date of incorporation, director names (from public Companies House records).

Financial Data: Monthly transaction processing volume (TPV), average transaction value (ATV), blended processing rate, card mix breakdown (Visa/Mastercard, Amex, debit, credit, commercial splits), terminal rental costs, authorisation fees, PCI compliance fees, and other charges as extracted from uploaded merchant statements.

Contact Data: Name and contact details of the individual instructing the quote (typically the business owner or financial decision-maker).

Statement Data: The uploaded merchant statement file itself (PDF or image), which may contain the above financial data plus the merchant's existing payment provider details.

We do not collect or process: personal bank account numbers, sort codes, credit or debit card numbers, passwords, National Insurance numbers, or any special category data as defined under Article 9 of UK GDPR.

5. Artificial Intelligence and Automated Processing

IMPORTANT: The Tool uses artificial intelligence (AI) services provided by Anthropic, PBC ("Anthropic"), specifically the Claude AI model, to perform the following functions:

(a) Statement Extraction: Uploaded merchant statements are transmitted to Anthropic's API for optical character recognition and data extraction. The AI reads the statement and extracts structured financial data (fees, rates, volumes, card mix).

(b) AI Cover Letter Generation: Where enabled, the AI generates a personalised narrative summary of the proposal.

(c) Growth Projections: The AI may generate forward-looking estimates of potential savings based on historical data and industry benchmarks.

Data Transmission to Anthropic: When you upload a statement or generate a proposal, the relevant data is transmitted to Anthropic's servers for processing. Anthropic processes this data in accordance with their Commercial Terms of Service and Privacy Policy (available at anthropic.com).

Anthropic's Data Retention: As of the date of these Terms, Anthropic's standard commercial API terms provide that API inputs and outputs are not used to train their AI models. However, Anthropic may retain API inputs and outputs for up to 30 days for trust and safety purposes (abuse monitoring and detection), after which they are automatically deleted. Klipy UK Limited does not have an enterprise-level agreement with Anthropic that provides for custom data retention policies. By using the Tool, you acknowledge and accept this standard retention period.

No Automated Decision-Making: The AI-generated analysis is used to assist in preparing proposals only. No decisions with legal or similarly significant effect are made solely on the basis of automated processing. All proposals are reviewed by Klipy UK Limited personnel before being presented to merchants. The final decision to accept any Teya offer rests entirely with you.

6. Third-Party Data Processors

We use the following third-party data processors in connection with the Tool. Each processor is engaged under appropriate contractual safeguards:

Anthropic, PBC (San Francisco, USA): AI processing of uploaded statements and proposal generation. Data is processed under Anthropic's Commercial API Terms. International transfer safeguard: EU-US Data Privacy Framework and UK Extension, supplemented by Standard Contractual Clauses (SCCs) where required.

Vercel Inc. (San Francisco, USA): Application hosting and serverless function execution. Data is processed in Vercel's London (LHR1) region where available. International transfer safeguard: EU-US Data Privacy Framework and SCCs.

Companies House (UK Government): Public register lookups for business name verification. This is a UK-based public register and no personal data transfer occurs beyond what is already publicly available.

Google LLC (Mountain View, USA): Google Places API for address autocomplete functionality. Only partial address strings are transmitted; no financial data is shared with Google. International transfer safeguard: EU-US Data Privacy Framework and SCCs.

Supabase Inc. (Singapore/USA): Database hosting for application data, hosted in AWS eu-west-2 (London). International transfer safeguard: SCCs and AWS's compliance framework.

We do not sell, rent, or otherwise share your personal data with any third party for their own marketing or commercial purposes.

7. Data Retention

We apply the following retention periods, after which data is securely deleted:

Uploaded Statements: Uploaded files are processed in-memory during the analysis session and are NOT permanently stored by Klipy UK Limited. Once the browser session ends, the uploaded file is no longer accessible to us. However, as noted in Section 5, Anthropic may retain processed data for up to 30 days for trust and safety purposes.

Generated Proposals (PDFs): PDF proposals are generated on-demand and delivered directly to the user's browser as a download. We do not retain copies of generated PDFs on our servers.

Business and Contact Data: Where you have provided business details for personalisation (name, address, contact details), this data is held in the browser session only and is not transmitted to or stored on our servers, unless you proceed to onboarding, in which case it is retained for the duration of the merchant relationship plus 7 years (to comply with HMRC record-keeping requirements under s.12 Taxes Management Act 1970).

AI Processing Logs: Anthropic retains API inputs and outputs for up to 30 days for abuse detection, after which they are automatically purged. Klipy UK Limited does not have control over this retention period.

Analytics: We do not use analytics, advertising, or tracking cookies. A single session authentication cookie is used for access control purposes only.

8. Data Security

We implement appropriate technical and organisational measures to protect your data, in accordance with Article 32 of UK GDPR:

(a) Encryption: All data transmitted between your browser and our servers is encrypted using TLS 1.2 or higher. Data at rest in our database is encrypted using AES-256.

(b) Access Control: Access to the Tool's administrative functions and any stored data is restricted to authorised Klipy UK Limited personnel only, protected by multi-factor authentication.

(c) Infrastructure: The application is hosted on Vercel's edge network with database services provided by Supabase (AWS eu-west-2, London region), both of which maintain SOC 2 Type II compliance.

(d) Minimisation: We follow the principle of data minimisation. The Tool processes only the data necessary to generate the requested analysis and proposal. We do not collect extraneous personal information.

(e) Incident Response: In the event of a personal data breach, we will notify the Information Commissioner's Office (ICO) within 72 hours where required under Article 33 of UK GDPR, and affected data subjects without undue delay where the breach is likely to result in a high risk to their rights and freedoms.

9. Your Rights Under UK GDPR

Under UK GDPR, you have the following rights in respect of your personal data:

Right of Access (Article 15): You may request a copy of the personal data we hold about you.

Right to Rectification (Article 16): You may request correction of inaccurate or incomplete data.

Right to Erasure (Article 17): You may request deletion of your personal data where there is no compelling reason for its continued processing (subject to legal retention obligations).

Right to Restriction (Article 18): You may request that we restrict the processing of your data in certain circumstances.

Right to Data Portability (Article 20): You may request your data in a structured, commonly used, machine-readable format.

Right to Object (Article 21): You may object to processing based on legitimate interests. We will cease processing unless we demonstrate compelling legitimate grounds.

Right to Withdraw Consent: Where processing is based on consent, you may withdraw it at any time without affecting the lawfulness of prior processing.

Right to Complain: You have the right to lodge a complaint with the Information Commissioner's Office (ICO) at ico.org.uk or by calling 0303 123 1113.

10. Financial Services Disclaimer

IMPORTANT: Klipy UK Limited is NOT authorised or regulated by the Financial Conduct Authority (FCA). We do not provide financial advice, credit broking, or any regulated financial service.

The Tool produces estimates and comparisons based on data extracted from uploaded statements and Teya's published pricing model. These estimates are indicative only and do not constitute:

(a) A financial promotion within the meaning of s.21 Financial Services and Markets Act 2000 (FSMA);

(b) Regulated financial advice under the FCA Handbook;

(c) A binding offer, quotation, or contract;

(d) A guarantee of savings, rates, or commercial terms;

(e) Credit broking or consumer credit activity within the meaning of the Consumer Credit Act 1974.

Teya Solutions Ltd. is authorised by the Financial Conduct Authority under the E-Money Regulations 2011 (Reference no. 978181) for the provision of payment services and issuing of electronic money. All rates, terms, and offers are subject to Teya's standard merchant eligibility checks, underwriting criteria, and terms and conditions. Final rates may differ from estimates produced by the Tool.

Merchant Cash Advance Information: Where the Tool provides estimates of Merchant Cash Advance (MCA) eligibility or advance amounts, this is for informational purposes only. MCA products are provided by third-party funders (YouLend Ltd via Teya), not by Klipy UK Limited. Klipy UK Limited acts solely as a referral agent and receives a commission for successful MCA referrals. MCA products are not regulated by the FCA. You should obtain independent financial advice before entering into any MCA agreement.

11. Limitation of Liability

To the fullest extent permitted by law:

(a) The Tool is provided on an "as is" and "as available" basis. Klipy UK Limited makes no warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of the analysis, estimates, or proposals generated by the Tool.

(b) Klipy UK Limited shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from or in connection with your use of the Tool, including but not limited to: loss of profits, revenue, data, business opportunity, or goodwill, whether arising in contract, tort (including negligence), strict liability, or otherwise.

(c) Without prejudice to the above, the total aggregate liability of Klipy UK Limited in connection with the Tool shall not exceed one hundred pounds sterling (£100).

(d) Klipy UK Limited shall not be liable for any errors in the data extraction process, including but not limited to: misread figures from uploaded statements, incorrect card mix analysis, or inaccurate rate calculations. All outputs should be independently verified against the original statement before being presented to any merchant.

(e) Klipy UK Limited shall not be liable for any acts, omissions, or default of Teya (UK) Limited, Anthropic PBC, YouLend Ltd, iwoca Ltd, or any other third party.

(f) Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

12. Indemnity

You agree to indemnify and hold harmless Klipy UK Limited, its directors, officers, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or in connection with:

(a) Your use of the Tool in a manner inconsistent with these Terms;

(b) Your provision of inaccurate, misleading, or incomplete information;

(c) Any breach by you of applicable data protection legislation in respect of data you upload or input;

(d) Any claim by a third party arising from a proposal generated using the Tool that you have presented to them.

13. International Data Transfers

Some of our third-party processors (as detailed in Section 6) are located outside the United Kingdom and the European Economic Area. Where personal data is transferred internationally, we ensure appropriate safeguards are in place in accordance with Chapter V of UK GDPR:

(a) Adequacy Decisions: Where the UK Secretary of State has made an adequacy regulation in respect of the recipient country;

(b) Standard Contractual Clauses (SCCs): The International Data Transfer Agreement (IDTA) or the EU SCCs with the UK Addendum, as appropriate;

(c) EU-US Data Privacy Framework: For transfers to certified US organisations under the EU-US Data Privacy Framework and its UK Extension.

Specifically, data processed by Anthropic (AI analysis) is transferred to the United States. Anthropic participates in the EU-US Data Privacy Framework.

14. Intellectual Property

The Tool, including its source code, design, algorithms, and branding, is the intellectual property of Klipy UK Limited. Teya branding, logos, and product images are used under licence from Teya (UK) Limited and remain the property of Teya.

Proposals generated by the Tool may be shared with the merchant for whom they were prepared. You may not reproduce, distribute, or commercially exploit the Tool's output for any purpose other than presenting a Teya proposal to the specific merchant.

15. Amendments

Klipy UK Limited reserves the right to update these Terms at any time. The "Last updated" date at the top of this page will reflect the most recent revision. Continued use of the Tool after any amendment constitutes acceptance of the updated Terms.

Where a material change affects how we process your personal data, we will endeavour to provide prominent notice through the Tool's interface.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
